These terms govern your engagement with AutomateIn1Day Ltd ("we", "us", "our") for services described at automatein1day.com. By booking a call, signing a scope document, or paying an invoice, you agree to these terms.
1. Services
We provide AI automation, web design, SEO, and social media services. Each engagement is governed by a written scope document that specifies deliverables, price, and delivery date. The scope document supersedes anything on this site if they conflict.
2. Scope & changes
Every engagement is fixed-price against a shipped outcome. Changes to scope require a new written amendment before work begins — no silent scope-creep, from either side.
3. Delivery & guarantee
We commit to the delivery date in your scope document. If we miss it without a reasonable cause, you have the right to cancel the engagement with no kill fee and full refund of any work not yet delivered.
Reasonable causes that extend the date include: client delays in providing access, feedback, or content; third-party platform outages; scope changes requested by the client.
4. Payment
- One-time builds: 50% on scope approval, 50% on delivery — unless otherwise agreed in writing.
- Monthly retainers: invoiced on the 1st of each month, due within 14 days.
- Growth Stack and SEO Authority tiers: 3-month or 6-month minimum as specified in the scope, then month-to-month.
- Overdue invoices (30+ days) may result in service suspension until paid.
- All prices shown in GBP exclusive of VAT (where applicable).
5. Intellectual property
You own all deliverables on final payment — source code, content, API credentials, brand assets. We retain the right to mention you anonymously in case studies unless you opt out in writing. Named / logoed case studies require explicit written consent.
Any open-source libraries, frameworks, or third-party tools we use remain under their original licences.
6. Client responsibilities
- Provide accurate business information and timely feedback within agreed windows.
- Grant access to tools, accounts, and data we need to deliver the scoped work.
- Pay subscriptions for third-party tools used by your automations (e.g. Claude API, n8n hosting). These are always itemised before scoping.
- Comply with laws applicable to your use of the deliverables (e.g. marketing consent for automations that contact your customers).
7. Cancellation
- One-time builds: cancellable at any point before delivery. You pay for work completed to that point.
- Monthly retainers: cancellable after the minimum term with written notice before the month-end. No notice fee beyond the current month.
- We may cancel for non-payment, abuse of our team, or activity that places our business at legal risk.
8. Limitation of liability
Our total liability under any engagement is capped at the total fees paid by you to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or loss-of-profit damages.
Nothing in these terms limits our liability for death, personal injury caused by negligence, fraud, or anything else that cannot be limited under UK law.
9. Confidentiality
We treat all non-public information you share as confidential and only use it to deliver services you've engaged us for. We'll sign an NDA if you provide one; if not, a mutual confidentiality obligation applies.
10. Data processing
Where we process personal data on your behalf, a Data Processing Agreement (DPA) applies. A standard GDPR-compliant DPA is available on request and is deemed incorporated into the engagement if you request services that involve processing personal data.
11. Third-party services
We may integrate deliverables with third-party services (Claude, n8n, Make, Zapier, Cloudflare, etc.). Their own terms and pricing apply; we are not responsible for their uptime or changes to their pricing. We always disclose such dependencies before scoping.
12. Governing law
These terms are governed by the laws of England and Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to these terms
We may update these terms from time to time. The current version applies to new engagements. Existing engagements are governed by the terms in force when the scope was signed.
